MINDCHAT TERMS OF SALE

ARTICLE 1: PURPOSE AND SCOPE
These Terms of Sale (hereinafter “Terms of Sale” or “ToS”) define the conditions under which LUDOMATIQUE SASU (hereinafter “LUDOMATIQUE”) provides its customers (hereinafter the “Customers”) with paid access to its MindChat service (hereinafter the “Service”) through subscription.
The MindChat service is published by LUDOMATIQUE SASU, a single-member simplified joint-stock company with capital of €5,000, registered with the Chaumont Trade and Companies Register under number 992 243 857, intra-community VAT number FR45992243857, whose registered office is located at 19 rue Saint Jean, 52000 Chaumont, FRANCE.
The MindChat service is available from the main website accessible at https://mindchat.world.
These Terms of Sale apply to the exclusion of all other conditions. Any Customer who subscribes acknowledges having read these Terms of Sale and accepted them without reservation. The Terms of Sale supplement the Terms of Service (ToS) which govern the use of the Service.
ARTICLE 2: SUBSCRIPTION PLANS
LUDOMATIQUE offers several paid subscription plans (hereinafter the “Subscriptions”).
Each Subscription grants access to specific features and usage limits (such as the number of messages or chatbots accessible over a given period).
The precise details of features, usage limits, and pricing for each Subscription are presented clearly and up-to-date on MindChat’s commercial pages. This information forms an integral part of the contract.
ARTICLE 3: ORDER PROCESS
Subscription to a Subscription plan proceeds as follows:
- The Customer selects the Subscription plan of their choice on the Site.
- The Customer creates an account or logs into their existing account.
- An order summary (chosen plan, total price, initial commitment duration) is presented to the Customer.
- The Customer validates their order and payment obligation by clicking the confirmation button provided for this purpose.
- The Customer proceeds with payment via the secure payment solution offered.
The order is considered final after payment confirmation by our payment provider. A confirmation email summarizing the subscription is then sent to the Customer.
ARTICLE 4: PRICING AND PAYMENT CONDITIONS
4.1. Prices and Taxes
Subscription prices are indicated in the currency presented to the Customer on the sales page at the time of order. Unless otherwise stated, prices are displayed excluding taxes (excl. tax).
Applicable taxes (VAT, GST, sales tax, or any other value-added or sales tax) are calculated and added to the total amount at the time of order validation and payment. The tax rate and amount are determined based on the Customer’s declared country of residence. The final price, including all taxes, is clearly indicated in the order summary before the Customer proceeds with payment.
LUDOMATIQUE relies on automated solutions, such as Stripe Tax, to ensure correct calculation of applicable taxes.
4.2. Price Modifications
LUDOMATIQUE reserves the right to modify its prices at any time. For any new Subscription, the applicable prices are those in effect on the date of order.
For a Customer who already holds an active Subscription, any price increase will be notified by email within a period of no less than thirty (30) days before the relevant renewal date. The Customer will be free to refuse this increase by canceling their Subscription before its renewal, in accordance with Article 5.3. Failing cancellation, the new price will apply from the next renewal.
4.3. Payment Methods
Payment is made by credit card via the secure payment system Stripe. The Customer guarantees that they are fully authorized to use the chosen payment method.
4.4. Recurring Payments and Payment Incidents
The Subscription is paid in advance for the upcoming period (payment in arrears). The first payment is made on the day of subscription. Subsequent payments are automatically charged on the anniversary date of the subscription, using the same payment method.
In case of payment failure, the Customer’s access to paid Service features will be suspended until the situation is resolved. The Customer will be notified of the incident and invited to update their payment information.
ARTICLE 5: DURATION, RENEWAL, AND CANCELLATION
5.1. Subscription Duration
Unless otherwise stated, Subscriptions are taken out for an initial period of one (1) month, starting on the day of subscription.
5.2. Automatic Renewal
At the end of the initial period, the Subscription is automatically renewed for successive periods of the same duration, unless the Customer cancels under the conditions set out in Article 5.3.
5.3. Cancellation by the Customer
The Customer may cancel their Subscription at any time, without fees or justification. Cancellation is performed directly from the Customer’s personal area on the Site.
To be effective and avoid being charged for the following period, the cancellation request must be made no later than the day before the Subscription renewal date.
Cancellation will take effect at the end of the current billing period. The Customer will retain access to paid features until that date. No refund will be made for the current period already paid.
ARTICLE 6: RIGHT OF WITHDRAWAL
In accordance with Article L221-18 of the French Consumer Code, consumer Customers have in principle a period of fourteen (14) days to exercise their right of withdrawal.
However, with regard to the “supply of digital content not provided on a physical medium whose execution has begun after the consumer’s express prior agreement and express waiver of their right of withdrawal”, this right cannot be exercised, in accordance with Article L221-28, 13° of the French Consumer Code.
During the order process, and before payment, the Customer will:
- Give their express agreement for the Service to begin immediately after payment, before the end of the withdrawal period.
- Expressly acknowledge that by giving this agreement, they waive their right of withdrawal.
Consequently, any subscription to a Subscription providing immediate access to the Service will not give rise to any right of withdrawal.
ARTICLE 7: SERVICE ACCESS AND SUPPORT
Upon payment validation, the Customer benefits from access to the features of the subscribed Subscription. LUDOMATIQUE undertakes to implement all reasonable means to ensure quality access to the Service, within the framework of a best-efforts obligation.
The terms of use of the Service are governed by the Terms of Service.
ARTICLE 8: CONSUMER MEDIATION
In accordance with Articles L.611-1 et seq. of the French Consumer Code, consumer Customers have the right to use a consumer mediator free of charge with a view to the amicable resolution of the dispute opposing them to a professional.
LUDOMATIQUE adheres to the mediation service of:

Referral to the mediator must be preceded by an attempt at amicable resolution of the dispute directly with LUDOMATIQUE by written complaint.
The Customer may also use the online dispute resolution platform set up by the European Commission, accessible at the following address: https://consumer-redress.ec.europa.eu/.
ARTICLE 9: APPLICABLE LAW AND DISPUTE RESOLUTION
These Terms of Sale are governed by French law.
In the event of a complaint, the Customer will contact LUDOMATIQUE as a priority to obtain an amicable solution. Failing amicable resolution, and subject to public policy provisions, any dispute relating to these Terms of Sale shall fall under the exclusive jurisdiction of French courts, as defined in the Terms of Service.
